Terms of service
§ 1 General
(1) These General Terms and Conditions (hereinafter referred to as “GTC”) of Essentials by Freifrau GmbH (hereinafter referred to as “Seller”) apply to all contracts for the delivery of goods concluded between the Seller and a consumer or entrepreneur (hereinafter referred to as “Customer”) – in particular via the Seller’s online shop at https://essentials-freifrau.com, by e-mail (trade customers: service@essentials-freifrau.com), telephone or at trade fairs and – where offered – via a B2B portal of the Seller. A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside his or her trade, business or profession (Section 13 German Civil Code, BGB). An entrepreneur is a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of his or her trade, business or profession (Section 14 BGB).
(2) If the Customer is an entrepreneur, these GTC in the version valid at the time of the respective order shall also apply to all future transactions with the Customer, without the Seller having to refer to them again in each individual case.
(3) If the Customer is an entrepreneur, the Seller hereby objects to any counter-confirmation, counter-offer or other reference by the Customer to its own terms and conditions. Deviating, conflicting or supplementary terms of the Customer shall only become part of the contract if and to the extent that the Seller has expressly agreed to their application in text form.
(4) If the Customer is an entrepreneur, it may only assign claims arising from contracts concluded with the Seller with the Seller’s prior consent in text form; Section 354a of the German Commercial Code (HGB) remains unaffected.
(5) The offer in the online shop is directed at Customers with a delivery address in one of the Seller’s delivery areas. The current delivery areas are listed on the “Shipping & Delivery” page at https://essentials-freifrau.com/en/policies/shipping-policy.
§ 2 Contract Conclusion
(1) The presentation of goods in the Seller’s online shop does not constitute a legally binding offer, but a non-binding invitation to the Customer to order goods.
(2) The Customer may submit an offer via the order form integrated in the online shop. After placing the selected goods in the shopping basket and completing the electronic ordering process, the Customer submits a legally binding offer to conclude a contract for the goods in the shopping basket by clicking the button that concludes the ordering process. The Customer may also submit an offer by e-mail or by telephone.
(3) The Seller may accept the Customer's offer within five days,
- by sending an order confirmation in text form (e.g. by e-mail) to the Customer, whereby receipt of the order confirmation by the Customer is decisive, or
- by delivering the ordered goods to the Customer, whereby receipt of the goods by the Customer is decisive, or
- by requesting payment from the Customer after the Customer has placed the order, or
- for payment methods where payment is authorised directly during the ordering process (e.g. credit or debit card, Shop Pay, Apple Pay, Google Pay, EPS, Klarna or PayPal)
If several of the aforementioned alternatives apply, the contract is concluded at the time at which one of them first occurs. The period for accepting the offer begins on the day after the Customer sends the offer and ends at the end of the fifth day after the offer was sent. If the Seller does not accept the Customer’s offer within this period, the offer is deemed rejected and the Customer is no longer bound by it. An e-mail in which the Seller merely confirms receipt of the order does not constitute acceptance.
(4) When an offer is submitted via the Seller’s order form, the text of the contract is stored by the Seller after conclusion of the contract and sent to the Customer together with these GTC in text form (e.g. by e-mail) after the order has been placed. The Seller does not otherwise make the text of the contract accessible. If the Customer has set up a customer account in the online shop before placing the order, the order data are archived there and can be accessed free of charge via the password-protected customer account.
(5) Before bindingly placing the order via the Seller's online order form, the Customer can identify possible input errors by carefully reading the information displayed on the screen. An effective technical means for better recognition of input errors can be the enlargement function of the browser, with the help of which the display on the screen is enlarged. The Customer can correct his entries during the electronic ordering process using the usual keyboard and mouse functions until he clicks the button that concludes the ordering process.
(6) Order processing and contact are usually carried out by e-mail and automated order processing. The Customer must ensure that the e-mail address provided by him for order processing is correct so that e-mails sent by the Seller can be received at this address. In particular, when using SPAM filters, the Customer must ensure that all e-mails sent by the Seller or by third parties commissioned by the seller to process the order can be delivered.
(7) The languages available for concluding the contract are German and English. The language in which the Customer places the order is decisive.
§ 3 Purchase Orders
(1) For enquiries outside the online shop – in particular from retailers, interior designers, architects or the hospitality sector – the Customer receives all contract data as part of a binding quotation in text form (e.g. by e-mail), which the Customer can print out or save electronically. Trade customers send their enquiries to service@essentials-freifrau.com. Where the Seller offers a B2B portal, it is only open to approved entrepreneurs; before approval, the Seller may require proof of entrepreneur status (e.g. trade registration or VAT ID). Section 2 applies accordingly to orders placed via the B2B portal.
(2) In this case, orders must be placed in text form (e.g. e-mail) and are accepted subject to these GTC. If the Customer is an entrepreneur, terms of the Customer and any representations, warranties, guarantees or other statements not contained in the Seller’s quotation or order confirmation, or not expressly confirmed by the Seller in text form, are not binding on the Seller.
(3) Orders are only deemed accepted once the Seller has confirmed them in text form or delivers the goods. If the Seller does not separately confirm an agreement made orally or by telephone with an entrepreneur, the Seller’s invoice is deemed to be the confirmation.
§ 4 Right of withdrawal for consumers
(1) If the Customer is a consumer, the Customer has a right of withdrawal in accordance with the following withdrawal policy:
Withdrawal policy
Right of withdrawal
You have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period will expire after 14 days from the day on which you acquire, or a third party other than the carrier and indicated by you acquires, physical possession of the last good.
To exercise the right of withdrawal, you must inform us
Essentials by Freifrau GmbH
Gildestraße 9

Germany
Phone: +49 5261 97 13 30 43
E-mail: service@essentials-freifrau.com
of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or e-mail). You may use the attached model withdrawal form, but it is not obligatory. You may also exercise your right of withdrawal online at https://essentials-freifrau.com/en/account. If you use this online function, we will send you without delay, on a durable medium (e.g. by e-mail), an acknowledgement of receipt containing the content of your withdrawal statement and the date and time of its receipt.
To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal
If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. We may withhold reimbursement until we have received the goods back or you have supplied evidence of having sent back the goods, whichever is the earliest.
You shall send back the goods or hand them over to us at Essentials by Freifrau GmbH, Gildestraße 9, 32657 Lemgo, Germany without undue delay and in any event not later than 14 days from the day on which you communicate your withdrawal from this contract to us. The deadline is met if you send back the goods before the period of 14 days has expired.
We will bear the cost of returning the goods.
You are only liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.
End of withdrawal policy
Model withdrawal form
(Complete and return this form only if you wish to withdraw from the contract.)
– To Essentials by Freifrau GmbH, Gildestraße 9, 32657 Lemgo, Germany, e-mail: service@essentials-freifrau.com:
– I/We (*) hereby give notice that I/We (*) withdraw from my/our (*) contract of sale of the following goods (*)/for the provision of the following service (*),
– Ordered on (*)/received on (*),
– Name of consumer(s),
– Address of consumer(s),
– Signature of consumer(s) (only if this form is notified on paper),
– Date
(*) Delete as appropriate.
(2) Pursuant to Section 312g(2) BGB, the right of withdrawal does not apply, inter alia,
to the delivery of goods which are not prefabricated and for the manufacture of which an individual selection or determination by the consumer is decisive or which are clearly tailored to the consumer’s personal needs (e.g. pieces made to the Customer’s individual specifications).
(3) Please avoid damage to and soiling of the goods. Please return the goods – especially fragile objects (e.g. mirrors, glass or ceramics) – in their original packaging with all accessories and packaging components where possible. If you no longer have the original packaging, please use suitable packaging to ensure adequate protection against transport damage. Please use the returns label or return function in your customer account (https://essentials-freifrau.com/en/account) and do not return the goods carriage forward. Please note that this paragraph 3 is not a prerequisite for effectively exercising the right of withdrawal.
(4) Irrespective of the statutory right of withdrawal, the Seller grants consumers a voluntary right of return of 30 days from receipt of the goods. Within this period, the goods may be returned via the return function in your customer account (https://essentials-freifrau.com/en/account), provided they are unused, undamaged and complete in their original packaging; pieces made to the customer’s individual specifications are excluded. The Seller bears the cost of return shipping. The purchase price is refunded to the payment method originally used after receipt and inspection of the goods. The statutory right of withdrawal under paragraph (1) remains unaffected by this voluntary right of return and is not restricted by its conditions.
§ 5 Price and Terms of Payment
(1) The prices stated in the online shop are total prices and include statutory VAT. Any additional delivery and shipping costs are stated separately on the “Shipping & Delivery” page and in the ordering process before the order is placed. Prices in the B2B portal and in quotations to entrepreneurs are exclusive of the applicable statutory VAT.
(2) For deliveries to Switzerland, customs duties and import VAT are included in the price shown (delivered duty paid, DDP); no further charges arise on delivery. For deliveries to other countries outside the European Union, additional costs for which the Seller is not responsible may arise in individual cases and shall be borne by the Customer, in particular customs duties, import VAT and carriers’ customs clearance fees, unless the ordering process expressly states that these costs are included in the price. The Customer shall also bear the costs of money transfers (e.g. bank transfer or exchange rate fees) if the Customer makes the payment from a country outside the European Union.
(3) The available payment methods are shown to the Customer in the online shop and during the ordering process.
(4) If prepayment by bank transfer has been agreed, payment shall be due immediately after conclusion of the contract, unless the parties have agreed on a later due date.
(5) If a payment method offered via the payment service “Shopify Payments” is selected (e.g. credit or debit card, Shop Pay, Apple Pay, Google Pay, EPS)
(6) If the Customer is an entrepreneur, the purchase price shall be paid in advance before delivery; payment is made via a payment link provided by the Seller or by bank transfer to the account stated in the invoice. A payment term applies only if expressly agreed in text form.
(7) The Customer is only entitled to set off if its counterclaims have been finally established by a court, are undisputed or have been acknowledged by the Seller, or if they arise from the same contractual relationship, in particular from rights in respect of defects. The Customer may only exercise a right of retention insofar as its counterclaim arises from the same contractual relationship.
§ 6 Special terms for individual payment methods
(1) PayPal
If the PayPal payment method is selected, payment is processed by PayPal (Europe) S.à r.l. et Cie, S.C.A., 22–24 Boulevard Royal, L-2449 Luxembourg (“PayPal”), subject to the PayPal User Agreement (https://www.paypal.com/de/legalhub/useragreement-full). At the end of the ordering process, the Customer is redirected to the PayPal website, where the payment is authorised.
(2) Klarna
If the Seller offers Klarna payment methods (e.g. pay later by invoice, instalments or pay now), payment is processed – depending on the integration, via Shopify Payments or directly – by Klarna Bank AB (publ), Sveavägen 46, 111 34 Stockholm, Sweden (“Klarna”). In these cases, payment shall be made to Klarna. Klarna payment methods are only available to consumers and are subject to a successful identity and credit check by Klarna. Klarna’s terms of use and privacy notices (https://www.klarna.com/international/privacy-policy/) apply; the applicable conditions (e.g. payment term and instalment terms) are shown during the ordering process.
§ 7 Delivery, Delivery Times, Shipping Conditions and Availability of Goods
(1) Deliveries are made to the delivery address specified by the Customer, unless otherwise agreed. The delivery address specified in the Seller's order processing shall be decisive for the processing of the transaction. Deviating from this, if the payment method PayPal is selected, the delivery address deposited by the Customer with PayPal at the time of payment shall be decisive.
(2) Deliveries are only made to addresses within the Seller’s delivery areas (Section 1(5)). The Seller is entitled to make partial deliveries where this is reasonable for the Customer; consumers do not incur any additional shipping costs as a result. The Seller will inform the Customer of partial deliveries in the shipping confirmation.
(3) If delivery of the goods fails for reasons for which the Customer is responsible, the Customer shall bear the reasonable costs incurred by the Seller as a result. This does not apply to the costs of return shipment if the Customer effectively exercises the right of withdrawal; in that case the provision in the withdrawal policy applies. Collection in Lemgo is only possible by prior arrangement.
(4) The delivery time is stated on the respective product page and in the ordering process. For advance payment it begins on the day after the payment order is placed; for all other payment methods it begins on the day after conclusion of the contract. For pieces made to order (e.g. editions), the production and delivery time stated separately there applies. If the Seller cannot meet the delivery time for reasons for which it is not responsible (e.g. force majeure), it will inform the Customer without delay and state the expected new delivery date. If the goods are still not available four (4) weeks after expiry of the original delivery time, both parties are entitled to withdraw from the contract in whole or in part; any consideration already paid by the Customer will be refunded by the Seller without delay. If the Customer cannot reasonably be expected to accept delivery as a result of the delay, the Customer may withdraw from the contract by declaration in text form (e.g. by e-mail). Further statutory rights of the Customer remain unaffected.
(5) The risk of accidental loss and accidental deterioration of the goods during shipment only passes to the Customer upon handover of the goods to the Customer, irrespective of whether the shipment is insured or uninsured. This does not apply if the Customer has independently commissioned a carrier not named by the Seller or another person designated to carry out the shipment.
(6) If an item is marked as unavailable in the online shop, the Customer can use the “Notify me when available” function to be informed by e-mail as soon as the item is available again. The notification neither constitutes a reservation nor a claim to delivery.
(7) If, despite having concluded a corresponding purchase or production contract in good time, the Seller is not supplied, not correctly supplied or not supplied on time by its supplier (e.g. the producing workshop) through no fault of its own, the Seller is entitled to withdraw from the contract. In this case, the Seller will inform the Customer without delay of the unavailability and will refund any consideration already paid without delay.
(8) The Seller insures shipments at its own expense to an appropriate amount against loss and damage. If the Customer is an entrepreneur, this applies unless otherwise agreed; any additional insurance is only taken out at the Customer’s express request and expense.
(9) In the absence of a different agreement, the place of dispatch, the transport route and the means of transport are selected by the Seller at its reasonable discretion.
(10) If the Customer provides the means of transport, then Customer shall be responsible for its availability on time. Seller shall immediately be informed of any delays. Any costs arising therefrom shall be at the expense of the Customer.
(11) Vis-à-vis entrepreneurs, stated delivery or unloading times are non-binding unless a binding date has been expressly agreed in text form.
(12) If the Customer is an entrepreneur, the following shall apply in addition or in deviation of the above:
a) The risk passes to the Customer when the goods are handed over to the first carrier;
b) Unless otherwise agreed, deliveries to entrepreneurs are made CIP (Incoterms® 2020) to the agreed delivery address: the Seller arranges and insures transport; shipping and insurance costs are stated individually in the Seller’s quotation;
c) Obstacles to delivery due to force majeure or other unforeseeable events for which the Seller is not responsible, in particular epidemics and pandemics, strikes, lockouts, official orders, subsequent loss of export or import possibilities and the case of paragraph (7) above, release the Seller from the obligation to comply with an agreed delivery or unloading time for their duration and to the extent of their effect. They also entitle the Seller to withdraw from the contract without any claims for damages by the Customer;
d) If a bindingly agreed time of delivery or unloading is exceeded and there is no case under lit. b), the Customer shall set the Seller a reasonable grace period of at least two weeks. If the Seller also fails to meet this deadline, the Customer is entitled to withdraw from the contract. Claims for damages due to delay exist only in accordance with Section 12 of these GTC.
§ 8 Duty of Inspection and Objection
If the Customer is an entrepreneur, the following shall apply:
(1) Upon delivery at the agreed destination or, in the event of collection, upon taking possession, the Customer shall without delay
a) check quantities and packaging and record any objections thereto on the delivery note or consignment note and/or the acknowledgement of receipt note, and
b) carry out a quality inspection at least on a representative spot-check basis and, for this purpose, open the packaging to a reasonable extent and inspect the goods for externally visible defects, in particular breakage and transport damage.
(2) In case of a notice of defect the Customer shall comply with the following procedures and deadlines:
a) Obvious defects, in particular transport damage, shortfalls and incorrect deliveries, shall be notified within five (5) working days after delivery of the goods at the agreed destination or after taking possession of them. Hidden defects which, despite proper inspection under paragraph (1), initially remained undiscovered shall be notified within five (5) working days after their discovery.
b) The notice must reach the Seller within the aforementioned deadlines in text form (e.g. by e-mail, preferably with photos of the goods and the packaging). Notice by telephone is not sufficient. Notices to commercial agents, brokers or agents are not valid.
c) The notice must clearly specify the kind and amount of the alleged defect.
d) The Customer shall keep the goods complained of available at the place of inspection for inspection by the Seller or an expert appointed by the Seller.
(3) Objections regarding quantities and externally visible transport damage are excluded if the note on the delivery note, consignment note or acknowledgement of receipt required under paragraph (1)(a) is missing. Furthermore, objections regarding recognisable defects are excluded as soon as the Customer has resold or processed the delivered goods or combined them with other items.
(4) Any good for which objections shall not have been raised in accordance with the procedures and deadlines set out above shall be regarded as approved and accepted.
§ 9 Retention of Title
(1) Until full payment of the purchase price, the delivered goods remain the property of the Seller.
(2) If the Customer is an entrepreneur, the following shall apply in addition:
a) Seller retains title to the goods until all claims arising from the current business relationship have been settled in full. Before the transfer of ownership of the goods subject to retention of title, a pledge or transfer of ownership by way of security is not permitted;
b) Customer may resell the goods in the ordinary course of business. In this case Customer already now assigns to Seller all claims in the amount of the invoice amount accruing to Customer from the resale; Seller accepts the assignment. Customer is further authorized to collect the claim. However, insofar as Customer does not properly fulfil its payment obligations, Seller reserves the right to collect the claim itself;
c) Seller undertakes to release the securities to which Seller is entitled at Customer’s request insofar as the realizable value of Seller’s securities exceeds the claim to be secured by more than 10% (in words: ten per cent). The selection of the securities to be released is incumbent upon the Seller.
d) If the retention of title is not effective, or not effective to this extent, under the law of the country in which the goods are located, the Customer shall, at the Seller’s request, cooperate in providing equivalent security.
§ 10 Packaging
(1) The goods are shipped in protective packaging that is suitable for shipping and adapted to the respective goods. The costs of standard packaging are borne by the Seller. Special packaging (e.g. wooden crates for freight shipping) is only supplied if agreed; its costs are borne by the Customer unless stated otherwise.
(2) If the Customer is an entrepreneur, the packaging units and minimum order quantities stated in the B2B portal or in the quotation apply. The Seller is entitled to ship the goods on pallets or in consolidated cartons.
§ 11 Warranty
(1) In the event of defects, the statutory rights apply (subsequent performance, withdrawal, price reduction), unless otherwise provided below. If the Customer is a consumer, the Customer may choose between repair and replacement as subsequent performance; the Seller may refuse the chosen type of subsequent performance in accordance with Section 439(4) BGB if it is only possible at disproportionate cost. Claims for damages or reimbursement of futile expenses are governed by Section 12 of these GTC.
(2) If the Customer is a consumer, claims for defects become time-barred two years after delivery of the goods.
(3) If the Customer is a consumer, the Customer is asked to check the goods upon delivery for completeness, obvious defects and transport damage and to notify the Seller and the carrier of any complaints as soon as possible – in the case of transport damage, preferably with photos of the goods and the packaging. Failure to do so has no effect on the Customer’s statutory rights in respect of defects.
(4) The Seller’s objects are predominantly handcrafted from natural materials (e.g. leather, wood, wool, metal with hand-finished surfaces, mouth-blown or hand-cut glass and ceramics). Material-specific characteristics such as grain, scars, variations in colour and texture, fine inclusions or bubbles in glass, patina and minor deviations in dimensions and weight within the tolerances stated on the product page are part of the usual quality of handcrafted goods. The Seller describes them on the respective product page before the contract is concluded. If the Customer is an entrepreneur, such characteristics do not constitute a defect.
(5) The Seller’s care, installation and use instructions (product page and enclosed leaflet) must be observed. Glassware is dishwasher-safe only in accordance with these care instructions. Normal signs of use and natural wear and tear do not constitute a defect.
(6) Rights in respect of defects do not exist insofar as a defect results from the Customer’s failure to observe the Seller’s care, installation or use instructions or generally accepted rules for the use of the product.
(7) If the Customer is an entrepreneur, the following applies in deviation from and in addition to the above:
a) only the Seller’s own specifications and the product description are deemed to be the agreed quality of the goods, but not other advertising, public statements or statements by the manufacturer or designer;
b) in the event of defects, the Seller shall, at its option, remedy the defect or deliver a replacement. If subsequent performance fails, the Customer may, at its option, demand a price reduction or withdraw from the contract. Repair is deemed to have failed after the second unsuccessful attempt unless the nature of the item or the defect or other circumstances indicate otherwise. In the event of subsequent performance, the Seller is not obliged to bear the increased costs arising from the goods having been taken to a place other than the place of performance, unless this corresponds to the intended use of the goods;
c) the limitation period for claims for defects is one year from delivery of the goods. This shortening does not apply:
- to claims for damages for culpable injury to life, body or health and for other damage caused intentionally or by gross negligence;
- insofar as the Seller has fraudulently concealed the defect or has given a guarantee for the quality of the item;
- to the Customer’s rights of recourse under Sections 445a, 445b and 478 BGB if the last contract in the supply chain is a consumer sale;
- to goods that have been used for a building in accordance with their customary use and have caused its defectiveness (Section 438(1) no. 2 BGB).
§ 12 Liability
(1) The Seller is liable without limitation for intent and gross negligence.
(2) The Seller is also liable without limitation for culpably caused injury to life, body or health.
(3) Furthermore, the Seller is liable in the following cases:
a) for damage resulting from non-compliance with a guarantee given by the Seller, to the extent of the Customer’s interest covered by the purpose of the guarantee;
b) in the case of fraudulently concealed defects and under the German Product Liability Act.
(4) In the event of a slightly negligent breach of a material contractual obligation, the Seller’s liability – subject to paragraphs (1) to (3) – is limited to the damage typical for the contract and foreseeable at the time the contract was concluded. Material contractual obligations are obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the Customer may regularly rely. In all other respects, the Seller’s liability for slightly negligent breaches of duty is excluded.
(5) Insofar as the Seller’s liability is excluded or limited, this also applies to the personal liability of its corporate bodies, employees, representatives and vicarious agents.
§ 13 Termination
If the Customer is an entrepreneur and a long-term business relationship exists (e.g. a dealer or framework agreement), the following applies:
a) Unless otherwise agreed individually, the right of both parties to terminate without notice for good cause shall remain unaffected;
b) In particular, the parties shall have a right of termination for good cause if the other party ceases its payments or files for insolvency proceedings or comparable statutory proceedings against its assets or if insolvency proceedings are opened against the assets of the other party or are rejected for lack of assets;
c) All notices of termination shall be in writing.
§ 14 Data protection
(1) All personal data provided by the Customer shall be collected, processed and used exclusively in accordance with the applicable data protection provisions.
(2) Processing the Customer’s personal data is necessary to perform the contract concluded with the Customer. The Seller processes in particular contact, order, delivery and payment data. The legal basis is the contract concluded between the parties (Art. 6(1)(b) GDPR). Due to retention obligations under commercial and tax law, contract-related data are stored for the statutory periods (currently up to ten years). Any further processing only takes place on a legal basis, on the basis of other contracts concluded between the Customer and the Seller, or with the Customer’s consent.
(3) Details on the processing of personal data, in particular on the service providers used (e.g. shop, payment, shipping and e-mail service providers), can be found in the Seller’s privacy policy at https://essentials-freifrau.com/en/policies/privacy-policy.
§ 15 Final Provisions
(1) Contracts between the Seller and the Customer are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If the Customer is a consumer habitually resident in another country, this choice of law only applies insofar as it does not deprive the Customer of the protection afforded by mandatory provisions of the law of that country.
(2) If the Customer is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, or is an entrepreneur without a general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes arising from or in connection with contracts with the Seller is the Seller’s registered office in Lemgo, Germany. The Seller is also entitled to sue the Customer at the Customer’s general place of jurisdiction.
(3) The Seller is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
